1. SELLER IDENTIFICATION
The online store Shopvault is operated by MERCHELYZ,
a Single-Member Simplified Joint Stock Company (SASU) with a share capital of €1,000,
registered with the Paris Trade and Companies Register under number 991 429 978,
with registered office at 60 Rue François 1er, 75008 Paris, France.

2. PURPOSE
These Terms & Conditions of Sale (T&Cs) govern all sales concluded on shopvault.merchelyz.com between MERCHELYZ and any customer, whether consumer or professional.
Placing an order on the website implies full and unconditional acceptance of these T&Cs.

3. PRODUCTS
Products offered for sale are described as accurately as possible.
Photographs, visuals, and descriptions are provided for illustrative purposes only and do not constitute a contractual obligation.
Products are shipped directly from partner logistics centres located in France, the European Union, or internationally, depending on the product type and delivery destination.

4. PRICES
Prices are displayed in euros (€), inclusive of all taxes (VAT), excluding delivery costs.
For deliveries in France and the European Union, prices include applicable VAT and, where applicable, customs duties and import fees.
No additional fees will be charged to the customer upon delivery for these regions.
MERCHELYZ reserves the right to modify its prices at any time.
The applicable price is the one displayed at the time of order confirmation.

5. ORDER
All orders become final and binding upon full payment confirmation.
MERCHELYZ reserves the right to cancel or refuse any order in case of:
  • Previous disputes with the customer
  • Manifestly incorrect or incomplete address
  • Suspected fraud
  • Payment failure or incident

6. PAYMENT
Payments are secure and can be made via:
  • Credit card
  • PayPal
  • Any other payment solution offered on the website
Orders will only be processed after full payment has been received.
6 BIS – CHARGEBACK / BANK DISPUTES / FRAUD
In case of a dispute, the customer agrees to contact MERCHELYZ customer service before initiating any bank dispute or chargeback.
Any abusive chargeback may result in:
  • Suspension or deletion of the customer account
  • Administrative fees
  • Possible civil proceedings

7. DELIVERY
France & European Union: Estimated delivery 5–15 business days from order confirmation.
United Kingdom (UK): Estimated delivery 7–20 business days, depending on customs formalities and carrier.
United States (USA): Estimated delivery 7–25 business days, depending on state, carrier, and customs checks.
Rest of the World: Estimated delivery 10–30 business days, depending on destination, product, and time of year.
These times are indicative and do not constitute a contractual commitment.
Delivery proof provided by the carrier is conclusive.
7 BIS – CUSTOMS / TAXES / IMPORT (OUTSIDE EU)
For deliveries outside the European Union, displayed prices do not include any local taxes, customs duties, or import fees that may be required by the authorities of the destination country.
These costs are the sole responsibility of the customer.
MERCHELYZ cannot be held liable for delays, blockages, or customs holds.

8. RIGHT OF WITHDRAWAL
In accordance with applicable law, the customer has a 14-day legal right of withdrawal from the date of receipt of the product.
Products must be:
  • New
  • Unused
  • In their original packaging
  • With intact labels
Return shipping costs are the responsibility of the customer.

9. DEFECTIVE PRODUCTS OR INCORRECT ORDER
In the event of defective, damaged, or non-compliant products, MERCHELYZ covers 100% of the return costs.
The customer may choose between:
  • Full refund
  • Free replacement

10. REFUND
Refunds are issued within 5 to 10 business days after:
  • Receipt of the returned parcel
  • Quality control
  • Final return approval
No refund will be made before the product is fully received and inspected.

11. SPECIAL CASES
  • Incorrect or incomplete address: reshipment costs borne by customer
  • Damaged parcel: report within 48 hours with photos
  • Promotional products: same return conditions
  • Returns outside EU: costs vary depending on carrier
  • Abusive returns: partial or refusal of refund possible

12. LIABILITY
MERCHELYZ’s liability is strictly limited to the amount of the concerned order.
No indirect, immaterial, or business loss damages may be claimed.

13. PERSONAL DATA
Personal data is processed in accordance with the General Data Protection Regulation (GDPR).
The Privacy Policy is available on the website.

14. FORCE MAJEURE
MERCHELYZ cannot be held responsible for events of force majeure as defined under Article 1218 of the French Civil Code.

15. APPLICABLE LAW AND JURISDICTION
These T&Cs are governed by French law:
  • Customers in France: competent French courts
  • Customers in the EU: EU Regulation No. 1215/2012 applies
  • Customers outside the EU: exclusive jurisdiction of French courts

16. MEDIATION
In accordance with Articles L612‑1 to L616‑3 of the French Consumer Code, customers may use a free consumer mediator after a written complaint has remained unsatisfactorily addressed for 30 days.

17. CUSTOMER ACCOUNT SUSPENSION
MERCHELYZ reserves the right to suspend or delete any customer account in cases of:
  • Fraud
  • Abuse of refund policy
  • Unjustified chargeback
  • Breach of these T&Cs
